(a) Confidential Information. The Service Provider acknowledges and agrees that, during his or her work in Guriansoft he or she will acquire, possess, and become exposed to secret or confidential and proprietary knowledge or information related to Guriansoft project (the “Confidential Information”). Confidential Information may include, but is not limited to, information relating to the business of Guriansoft companies, to the products, services and new and future concepts and business of Guriansoft, in the form of memorandum, reports, computer software and data banks, customer lists, Service Provider lists, books, records, financial statements, prices, profits, brand profit plans, marketing plans, sales plans, manuals, papers, contracts or contract terms, strategic plans, services, methods, processes or operating procedures. Confidentiality of a matter shall be determined by reasonable merit of confidentiality or Guriansoft expressed desire with respect thereto.
(b) Confidentiality Obligation. Accordingly, during the term of working of the Service Provider in Guriansoft and thereafter he or she will keep secret and shall not, without the prior written consent of Guriansoft, directly or indirectly, use, exploit, appropriate to his own use, disclose or permit to be used, exploited or disclosed to any person, any Confidential Information. This provision shall not apply to information: (i) which is or subsequently becomes public knowledge (other than through breach of this Agreement), (ii) which comes into Guriansoft or the Service Provider’s possession through any third party not bound by a similar duty of confidentiality, or (iii) which is required to be disclosed by law or court order.
(c) Survival. These restrictions shall continue to apply after the termination of the work of the Service Provider for Guriansoft for a period of 5 years.
(d) Books and Records. The Service Provider expressly agrees that all books and records relating in any manner whatsoever to the business of Guriansoft, and all other files, books and records and other materials owned by Guriansoft, or used by it in connection with the conduct of its business, whether prepared by Guriansoft or otherwise coming into Guriansoft or the Service Provider’s possession, shall be the exclusive property of Guriansoft, regardless of who actually prepared the original material, books or records. In the event that this Agreement is cancelled or terminated in accordance with the terms hereof, or at any other time that Guriansoft may so request, the Service Provider will immediately deliver to Guriansoft all memorandum, notes, records, programs, reports and other documents relating to Guriansoft and its business, which the Service Provider obtained in connection with working in Guriansoft and which the Service Provider may then possess or have under his or her control.
